These Terms of Use (“Terms”) govern your access to and use of the private investor portal (the “Portal”) operated by QED (“we,” “us,” or the “Firm”). By accessing or using the Portal, you agree to these Terms and to our Privacy Policy.
Eligibility and access
The Portal is provided by invitation only to prospective and existing investors and other authorized users. Access is personal to you; you may not share your sign-in credentials or passkeys, and you are responsible for activity under your account.
No offer; confidential information
Nothing in the Portal constitutes an offer to sell or a solicitation of an offer to buy any security, or investment, legal, tax, or accounting advice. Any offering is made only to eligible investors through definitive offering documents. All fund materials made available through the Portal are confidential, are provided for your evaluation only, and may not be reproduced or distributed. Documents are watermarked with your identity.
Your obligations
- Provide accurate information and keep it current, including for identity verification and eligibility.
- Use the Portal only for lawful purposes and only for your own evaluation of, or participation in, the fund.
- Do not attempt to access data you are not authorized to access, disrupt the Portal, or circumvent its security.
Electronic communications and signatures
You consent to receive communications, disclosures, and documents electronically, and you agree that electronic signatures and records satisfy any legal requirement that such communications be in writing.
Intellectual property
The Portal and its content are owned by the Firm or its licensors and are protected by law. We grant you a limited, revocable, non-transferable right to access the Portal for the purposes described above.
Disclaimers and limitation of liability
The Portal is provided “as is” without warranties of any kind. To the maximum extent permitted by law, the Firm is not liable for any indirect, incidental, or consequential damages arising from your use of the Portal.
Termination
We may suspend or terminate your access at any time, including where required by law or our compliance obligations.
Governing law; changes
These Terms are governed by the laws of the jurisdiction in which the Firm is organized, without regard to conflict-of-laws rules. We may update these Terms from time to time; continued use of the Portal constitutes acceptance of the updated Terms.
